These Terms and Conditions (“Agreement”) are entered into between ONEPLUS RESOURCE (“Company”) and the Marketing Agent (“Agent”) as of the effective date of their agreement. The parties agree and covenant to be bound by the terms and conditions set forth in this agreement as follows:

1. Scope of Services:
   • The Agent agrees to promote and market the writing services offered by the Company to potential clients – Scribub.
   • The Agent shall utilize their own marketing channels and strategies to attract potential clients.
   • The Agent shall not make any false or misleading representations about the Company’s services.
2. Commission and Compensation: The Agent shall be entitled to receive a 10% commission from the first purchase of new clients referred by the Agent. ONEPLUS RESOURCE shall however provide various promotional materials to aid agent’s marketing activities.
3. Relationship:
   • The Agent is an independent contractor and is not an employee, partner, or representative of the Company.
   • The Agent shall have no authority to bind the Company or act on its behalf, unless expressly authorized in writing.
4. Confidentiality:
   • The Agent acknowledges that during their engagement, they may have access to confidential and proprietary information of the Company.
   • The Agent agrees to maintain the confidentiality of such information and shall not disclose it to any third party without the Company’s prior written consent.
5. Compliance with Laws:
   • The Agent shall comply with all applicable laws, regulations, and ethical standards in their marketing activities.
   • The Agent shall be responsible for obtaining any necessary licenses or permits required to perform their marketing services.
6. Intellectual Property:
   • The Company retains all rights, title, and interest in its trademarks, logos, website, and other intellectual property.
   • The Agent shall not use the Company’s intellectual property without obtaining prior written consent.
7. Termination:
   • Either party may terminate this Agreement at any time with written notice.
   • Upon termination, the Agent shall cease all marketing activities related to the Company and return any confidential information in their possession.
8. Indemnity: The Agent agrees to indemnify and hold the Company harmless from any claims, damages, or liabilities arising out of the Agent’s marketing activities.
9. Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings, whether written or oral, relating to the subject matter herein.
